Terms of Service
The agreement between Intercis and the people who use it, in plain English. It is short on purpose. Where another page of ours already says something, this one links to it instead of saying it twice.

1. Who this agreement is between
These terms are an agreement between INTERCIS LLC, a North Carolina limited liability company ("Intercis", "we", "us"), and the person or company that creates an account or uses the service ("you"). If you accept them for a company, you confirm that you can bind that company. If you do not agree, do not use the service.
2. The service
Intercis is a governance proxy that sits in the path between your code and your AI model provider. It enforces policy on the tool calls your AI agents make, and returns one of three verdicts: allow, deny or observe. How it works describes the mechanics.
You keep your own account with your model provider. Your use of that provider, and what it charges you, stay between you and it. We are not the provider and we do not resell its models.
3. Accounts and API keys
Give us accurate information and keep it current. Keep your Intercis API keys and your dashboard sign-in secret. You are responsible for everything done under your account and with your keys, including by your agents and by anyone you let use them. If you think a key has leaked, rotate it and write to security@intercis.io.
4. Fees and billing
Prices are on the pilot page, and the price you accept is the one shown there when you subscribe. We bill monthly in advance, and payments are processed by Stripe. Fees are stated without taxes. You pay any sales, use or similar taxes that apply to your purchase, other than taxes on our income.
5. Cancellation and refunds
The service is month to month. You can cancel at any time, including during the 90-day pilot. Write to sales@intercis.io, or use any cancellation option we offer in the dashboard.
After you cancel, your access continues to the end of the month you have already paid for, and you are not billed again. We do not give partial refunds for a month that has begun, and we do not refund fees already paid, except where the law requires it.
6. Acceptable use
You agree to follow the Acceptable Use Policy. It is part of these terms.
7. Your data
You own the data you send through the service: your prompts, tool inputs, model responses and the policy you write. You give us the right to process it, only as needed to run the service for you and to keep it secure.
What we collect, who processes it and how long it is kept are set out on the privacy page, not here. Our security commitments, and what we have not done, are on the security page.
8. Our property, and your feedback
We own the service, its software, its documentation and our trademarks. These terms give you a right to use the service while your account is active, and nothing more. If you send us feedback or suggestions, we may use them without owing you anything.
9. No guarantee that every harmful action is caught
Intercis reduces risk. It does not guarantee that a harmful action will be caught. A policy can miss an action, and traffic that does not pass through the proxy is not governed at all. What Intercis does not cover lists the known limits, and you should read it before you rely on the service.
The service is provided "as is" and "as available". We publish no uptime commitment. To the extent the law allows, we disclaim all other warranties, including merchantability, fitness for a particular purpose and non-infringement. You remain responsible for what your agents do.
10. Limit of liability
Our total liability to you for all claims arising out of or relating to the service or these terms is no more than the fees you paid us in the twelve months before the claim arose.
Neither of us is liable to the other for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost data, even if told they were possible.
Nothing in these terms limits liability that the law does not allow to be limited.
11. Indemnity
You will defend and cover us against third-party claims, and the costs and damages that go with them, that arise from your misuse of the service, your breach of these terms or the Acceptable Use Policy, or actions your agents take that you directed or allowed. We will tell you promptly about a claim, and you may not settle one in a way that binds us without our written consent.
12. Suspension and termination
We may suspend or end your access if you breach these terms or the Acceptable Use Policy, if you do not pay, or if your use puts the service or other customers at risk. Where it is practical we will tell you first. You may stop using the service and cancel at any time, as section 5 says.
When an account ends, your right to use the service ends. Sections 7 to 11 and 14 survive. How your data is handled afterwards is described on the privacy page.
13. Changes to these terms
We may change these terms. We will give notice of a material change by email or on this page before it takes effect, and the date at the top of this page will change. If you do not accept a change, you can cancel as section 5 says.
14. Governing law and venue
North Carolina law governs these terms, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts in Wake County, North Carolina, and each of us consents to those courts.
15. General
These terms and the pages they link to are the whole agreement between us about the service. If a part is found unenforceable, the rest stays in force. You may not assign these terms without our written consent, except to a successor of your business. We may assign them to a successor of ours.
